MERCHANT TERMS & CONDITIONS (B2B PLATFORM AGREEMENT) Last Updated: January 2026

(“Terms”) constitute a legally binding electronic agreement under the Information Technology Act, 2000 and applicable laws of India between Bulk Basket India Food Solutions Private Limited (“BBI”, “Company”, “We”, “Us”) and the business entity or individual registered on the Platform (“Merchant”, “You”). By accessing, registering or placing Orders on www.bulkbasketindia.com , mobile application or assisted sales channels (collectively, the “Platform”), the Merchant agrees to be bound by these Terms. The Merchant confirms that it is acting strictly in the ordinary course of business and not as a consumer under the Consumer Protection Act, 2019 and that Goods are purchased solely for commercial purposes. Any personal or household use shall be deemed a material breach of these Terms.

DEFINITIONS:

• Commencement Date – Date of Merchant account activation confirmation by BBI. Platform – Website, mobile application and assisted sales channels operated by BBI.
• Merchant – Any registered business entity purchasing Goods for commercial use. Goods – All products sold on the Platform including groceries, dairy, frozen foods, produce, meat, packaging and allied items.
• Order(s) – Purchase requests placed through the Platform or assisted sales channels. 1.6 Perishable Goods – Goods with limited shelf life including fresh produce, dairy, meat and frozen items.
• Price – Selling price applicable at Order confirmation. Invoice – GST-compliant tax invoice issued by BBI.
• BBI Business Account – Internal settlement ledger maintained by BBI to record advance payments and approved trade credit exclusively for purchases on the Platform.
• Credit Facility – Approved deferred payment / trade credit arrangement. Credit Limit – Maximum permitted outstanding amount. Credit Period – Time allowed for invoice payment.
• Return Policy – Separate policy governing returns and replacements as published on the Platform.
• Force Majeure Event – Any event beyond reasonable control including flood, fire, epidemic, pandemic, strike, war, government orders or system failures.

ELIGIBILITY & BUSINESS USE

• Platform is strictly for B2B commercial use only. Eligible Merchants include hotels, restaurants, caterers, cafés, QSRs and institutional kitchens. Retail or personal consumption is prohibited.
• Merchant confirms possession of valid GST registration, FSSAI license and statutory approvals. PART C – ACCOUNT REGISTRATION & KYC Merchant shall provide accurate GSTIN, PAN, address and authorised signatory details.
• False or incomplete information may result in suspension or termination.
• BBI may conduct KYC, financial and compliance checks.

BBI BUSINESS ACCOUNT (INTERNAL SETTLEMENT LEDGER)

• BBI provides a closed-loop internal settlement ledger (“BBI Business Account”).It is non-transferable and usable only for purchases on the Platform.Balance represents advance payments or approved trade credit.
• The BBI Business Account is an internal accounting mechanism and does not constitute a prepaid payment instrument, digital wallet or regulated financial product under RBI regulations.
• Funds are adjusted only against invoices and are not redeemable as cash.No interest accrues on balances.BBI may suspend or restrict usage for legal or security reasons.

PAYMENTS & CREDIT FACILITY

• Payments may be made through bank transfer, UPI or approved modesSelected Merchants may be granted Credit Facility at BBI’s discretion.Credit is purely trade credit for purchase of Goods and not a loan.
• BBI is not a lender and does not provide regulated financial services under RBI regulations.Third-party BNPL or financing is solely between Merchant and provider.
• NO CASH LIABILITY: BBI shall not be responsible or liable for any cash payments made outside the Platform or authorised payment channels.

PRICING & ORDERS

• Prices applicable are those confirmed at Order confirmation.Prices are exclusive of GST unless stated otherwise.Orders shall be settled through the BBI Business Account (advance or credit).
• Orders are subject to stock availability and credit approval.BBI may cancel or modify Orders for operational or legal reasons.Confirmation may be via Platform, email, SMS or WhatsApp.

DELIVERY, ACCEPTANCE & TITLE TRANSFER

• Delivery timelines are indicative only.Merchant shall ensure availability for receipt and unloading.Failure to accept delivery may result in recall and adjustment.Risk transfers upon delivery and acceptance.
• Title passes only upon full payment.Delivery challan or digital acknowledgment is conclusive proof.

QUALITY & PERISHABLE GOODS

• Merchant must inspect Goods at delivery.Visible defects must be reported immediately.Latent defects must be reported within 24 hours.Merchant responsible for storage as per FSSAI norms.
• No return or refund for Perishable Goods except manufacturing defect or wrong supply.

RETURNS & REFUNDS

• Returns governed strictly by Return Policy.Refunds shall ordinarily be credited to the BBI Business Account.
• Where required by law or requested, refunds may be made to original payment source.Promotional balances are non-withdrawable and may expire.
• Refunds may be set off against outstanding dues.

INVOICING & TAX COMPLIANCE

• GST invoice shall be issued upon delivery.
• Applicable GST and taxes apply.
• TCS under Section 206C(1H) shall be collected where applicable.
• Merchant responsible for correctness of GST/PAN details.

DEFAULT & INTEREST

• Non-payment within Credit Period constitutes default.Interest at 18% per annum or such rate as permitted by law shall apply.
• Payments adjusted first towards interest then principal.BBI may suspend Orders or initiate recovery.
• Obligations survive termination.

CONFIDENTIALITY

Parties shall maintain confidentiality except where legally required.

DATA PROTECTION & PRIVACY

• Merchant consents to processing under IT Act 2000 and DPDP Act 2023.
• Reasonable security practices shall be adopted.
• Data may be stored in India or overseas in compliance with applicable laws.

INTELLECTUAL PROPERTY

• All Platform content belongs exclusively to BBI.
• Merchant shall not misuse IP.

INDEMNITY

Merchant indemnifies BBI against claims arising from:

• Statutory non-compliance
• Platform misuse
• False information
• Regulatory violations
• Food safety breaches

LIMITATION OF LIABILITY

• No liability for indirect or consequential damages.
• Total liability limited to value of disputed Order.

FORCE MAJEURE

No liability for failure due to Force Majeure Event.

TERMINATION

• BBI may terminate account for breach after 7 days notice except fraud.
• Outstanding dues survive termination.

NO PARTNERSHIP

Nothing creates partnership, agency or joint venture.

AMENDMENT

Terms may be amended by publishing updates on the Platform.

DISPUTE RESOLUTION & JURISDICTION

Arbitration under Arbitration & Conciliation Act, 1996.Venue: Chandigarh.Courts at Chandigarh shall have exclusive jurisdiction.

SEVERABILITY & WAIVER

• Waiver must be in writing.
• Invalid provision shall not affect remaining clauses.

GOVERNING LAW These Terms shall be governed by laws of India.

ELECTRONIC ACCEPTANCE Electronic acceptance constitutes a binding contract under IT Act, 2000.
